5.04 Board President

The board president shall be the chief executive officer of the corporation, shall have general and active management of the business and affairs of the corporation, and shall see that all orders and resolutions of the Board of Directors are carried into effect. The board president shall preside at all meetings of the Board of Directors. The president may appoint, with approval of the board, an assistant to assist in the performance of all or part of the duties of the president.

5.05 Secretary

The secretary shall keep or cause to be kept a book of minutes of all meetings and actions of the Board of Directors. 

(a)  The minutes of each meeting shall state the date, time, and place that it was held and such other information as shall be necessary to determine the actions taken and whether the meeting was held in accordance with the law and these Bylaws. 

(b)  The secretary shall cause notice to be given of all meetings of directors as required by the Bylaws. 

(c)  The secretary shall have such other powers and perform such other duties as may be prescribed by the board of directors or the board president. The secretary may appoint, with approval of the board, an assistant secretary to assist in performance of all or part of the duties of the secretary.

5.06 Treasurer

The treasurer shall be the lead director for oversight of the financial condition and affairs of the corporation. 

(a)  The treasurer shall have custody of the corporate funds and securities and shall keep full and accurate accounts and records of receipts, disbursement and other transactions in books belonging to the corporation, and shall deposit all moneys and other valuable effects in the name to the credit of the corporation in such depositories as may be designated by the Board of Directors.

(b)  The treasurer shall have custody of all contracts, deeds, leases, mortgages, grants, and other agreements of the corporation.

(c)  The treasurer shall disburse the funds of the corporation as may be ordered by the Board of Directors, taking proper vouchers for such disbursements, and shall render the President and Board of the Directors, at its regular meetings, or when the President or Board of Directors so requires, an account of all his/her transactions as treasurer and of the financial condition of the corporation. 

(d)  The treasurer shall perform all duties properly required by the board of directors or the board president. The treasurer may appoint, with approval of the board an assistant to help in performance of the duties of the treasurer.
