ARTICLE IV
BOARD OF DIRECTORS
4.01 Powers
The business and affairs of the corporation and all corporate powers shall be managed by the board of directors, subject to the Articles of Incorporation, or by these By-laws as to action which requires authorization or approval by the Board of Directors, except as otherwise provided by law.
4.02 Number of Directors
The Cupps Ministries, Inc shall have a board of directors consisting of at least 3 and no more than 5 directors. Within these limits, the board may increase or decrease the number of directors serving on the board.
4.03 Election and Qualifications of Directors
The Directors shall be elected at the annual Board of Directors meeting and each Director elected shall serve until his/her successor shall have been elected and qualified. The qualifications for members of the board of directors in this corporation shall be;
(a) The individual must be at least 18 years of age.
(b) The individual must be a Christian and faithfully attending church a minimum of 32 services per year.
(c) Directors may be elected at any board meeting.
(d) Directors can only be added to the board by the unanimous vote of all the existing board members.
(e) The election of directors to replace those who have fulfilled their term of office shall take place at the annual Board meeting in January of each year.
4.04 Terms
(a) The term of office for directors that are elected to serve shall be for four years, and shall begin January 1st, and end December 31st, unless the term is extended until a successor has been elected.
(b) Directors may serve terms in succession.
